TERMS AND AGREEMENTS
1. Acceptance of Terms
By accessing or using the website of Structured Society LLC (“Structured Society,” “we,” “our,” or “us”), you agree to be bound by these Terms and Conditions, including our Privacy Policy, Accessibility Statement, and any other applicable legal notices. If you do not agree, you must discontinue use immediately.
2. Scope of Services
Structured Society operates as a referral platform connecting businesses with independent professional service providers. We do not directly perform the services offered by providers, and we are not responsible for the quality, timeliness, or outcomes of services delivered by third parties.
3. No Guarantee of Results
Structured Society does not guarantee the success, performance, or outcome of any referral, introduction, or engagement between users and service providers. All parties are responsible for conducting their own due diligence.
4. Fees and Commissions
Referral fees, commissions, or compensation structures will be governed by separate agreements between Structured Society and its referral partners and/or service providers.
5. Non-Circumvention
You acknowledge and agree that:
Protected Introductions: Any business, client, or service provider introduced by Structured Society shall remain the property of Structured Society for all purposes related to referrals and business dealings.
No Direct Deals: You shall not, directly or indirectly, circumvent, bypass, avoid, or obviate Structured Society’s role by entering into business transactions with any party introduced by Structured Society without Structured Society’s prior written consent.
Duration: This non-circumvention obligation shall remain in effect during the business relationship with Structured Society and for a period of two (2) years following the most recent introduction or referral made by Structured Society.
Damages: Any breach of this clause shall entitle Structured Society to recover referral fees, lost profits, and/or liquidated damages equal to 15% of the value of the transaction, in addition to attorney’s fees and costs of enforcement.
Acknowledgment: By accepting these Terms, you affirm that Structured Society is the procuring cause of any introduction made through its platform, and that Structured Society is entitled to compensation for such transactions.

These Terms shall be governed by and construed in accordance with the laws of the State of New York. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Oneida County, New York.

Structured Society reserves the right to amend or update these Terms at any time without prior notice. Continued use of the website constitutes acceptance of any changes.
